1. Acceptance of these terms
By installing, accessing, or using InvoiceFlow Pro (the 'Service') you agree to be bound by these Terms of Service ('Terms'). The Service is operated by Specifek Ltd (Companies House No. 13059185), a private limited company registered in England and Wales with its registered office in Sidcup, London ('Specifek', 'we', 'us', 'our').
If you are accepting these Terms on behalf of an organisation (the 'Merchant'), you represent that you have authority to bind that organisation. If you do not have such authority, do not install or use the Service.
2. The Service
InvoiceFlow Pro is a Shopify application that generates tax-compliant PDF invoices and credit notes for orders placed in your Shopify store, stores them on your behalf, and optionally emails them to your customers. The Service covers UK and EU VAT rules including reverse charge for cross-border B2B sales and zero-rating for export.
The exact features and limits available depend on the subscription tier you have selected via Shopify's billing system. We may add, modify, or remove features over time; material changes will be communicated to you in advance.
3. Eligibility
To use the Service you must hold an active Shopify store on a plan that permits third-party applications, you must be at least 18 years old (or the age of majority in your jurisdiction), and you must comply with Shopify's own Terms of Service. We may refuse or terminate service to any merchant who uses Shopify in breach of Shopify's policies.
4. Subscription, billing, and refunds
The Service is provided on a recurring subscription basis. Pricing and the length of any free trial are stated on the Shopify App Store listing and inside the application's Plan page.
All charges are handled exclusively through Shopify's billing system (the 'Shopify Billing API'). Shopify acts as the merchant of record: it collects payment, issues your receipt, handles any local tax (including UK VAT), and remits funds to Specifek. We never see or store your payment card details.
If you cancel during the free trial you will not be charged. Once a paid billing cycle has started, charges are non-refundable except where a refund is required by law or expressly granted at our discretion. You can cancel at any time from your Shopify admin or from the application's Plan page; access continues until the end of the current billing cycle.
If a charge fails, Shopify will mark your subscription as 'frozen' and notify you. After Shopify's retry window expires without successful payment, your subscription will be cancelled and access to paid features will be suspended — historical data remains accessible (read-only) until the app is uninstalled.
5. Acceptable use
You agree to use the Service only for lawful business purposes and only for orders genuinely processed through your Shopify store. You must not: (a) attempt to reverse-engineer, scrape, or circumvent the technical protection measures of the Service; (b) generate fraudulent or misleading invoices; (c) use the Service to send unsolicited bulk email; (d) resell, sublicense, or white-label the Service without our written agreement.
We reserve the right to suspend or terminate accounts that violate this section, with or without prior notice depending on the severity of the breach.
6. Data ownership and processing
You retain full ownership of all data you upload to the Service or that we receive on your behalf from Shopify ('Merchant Data'). We process Merchant Data only as a data processor, on your documented instructions and in accordance with our Privacy Policy.
You acknowledge that issued invoices and credit notes are statutory tax records and that we will retain them for the duration legally required by HMRC, EU VAT directives, and other applicable tax law — even where you ask for deletion of other data. Anonymisation of personal fields will be applied where retention conflicts with a data-subject request, as described in our Privacy Policy.
7. Service availability
We aim to keep the Service available 24/7 but do not guarantee any specific uptime. Maintenance windows, third-party outages (Shopify, our hosting provider, email provider), or force majeure events may cause temporary interruption. We will use commercially reasonable efforts to restore service quickly and to communicate planned downtime in advance.
The Service is provided 'as is' and 'as available' to the maximum extent permitted by law.
8. Support
Standard support is provided by email at info@specifek.co.uk. We aim to acknowledge enquiries within one business day and resolve common issues within five business days. Support hours are 09:00–17:00 UK time, Monday to Friday, excluding UK bank holidays.
9. Modifications
We may amend these Terms at any time. Material changes will be announced inside the application or by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the amended Terms. If you do not agree, you may cancel your subscription before the effective date.
10. Termination
You may terminate the Service at any time by uninstalling the app from your Shopify admin. We may terminate or suspend the Service immediately on written notice if you materially breach these Terms or fail to pay any sum due.
On termination, you will be billed for any portion of the current cycle that has been used (handled automatically by Shopify), your right to use the Service ends, and the data-deletion procedure described in our Privacy Policy is triggered.
11. Limitation of liability
To the maximum extent permitted by law, Specifek's total aggregate liability under or in connection with these Terms — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — is limited to the total fees you have paid to Specifek for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
We are not liable for: indirect, consequential, special, or punitive damages; loss of profit, goodwill, revenue, or anticipated savings; loss or corruption of data caused by Shopify, your own actions, or third-party services outside our control; or any incident arising from your failure to comply with applicable tax or accounting law.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any other liability that cannot be limited under English law.
12. Indemnification
You agree to indemnify Specifek against any claim, loss, or expense (including reasonable legal costs) arising from (a) your breach of these Terms, (b) your misuse of the Service, or (c) any claim by a third party (including your customers or any tax authority) that the data you provide to the Service is inaccurate, fraudulent, or unlawful.
13. Governing law and disputes
These Terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising under or in connection with these Terms, save that we retain the right to bring proceedings in any other competent court for the protection of our intellectual property.
14. Contact
For any question about these Terms write to info@specifek.co.uk or by post to the Specifek Ltd registered office shown on companieshouse.gov.uk.
